Crystal Wealth Management System Ltd. was a Toronto-based investment fund manager and exempt market dealer that operated a series of private income funds targeted at retail investors seeking fixed income alternatives. In 2017 the Ontario Securities Commission placed the firm into receivership following an investigation into the overstatement of fund values and irregular money flows. Crystal Wealth no longer operates.

What was Crystal Wealth?
Crystal Wealth managed a group of private investment funds, marketed primarily to individual investors looking for income-generating alternatives to conventional fixed income products. The funds invested in areas including mortgages and real estate-related assets. The firm raised capital through the exempt market, meaning its products were sold to investors who qualified under prospectus exemptions rather than through the standard public offering process.
Crystal Wealth and the OSC
In 2017, the Ontario Securities Commission froze Crystal Wealth's funds after investigators identified concerns about overstated net asset values and unusual patterns in money flows between accounts. The OSC subsequently obtained a court order appointing a receiver over the firm and its funds. BDO Canada LLP, which had served as auditor to certain Crystal Wealth funds, was later sanctioned by the OSC and ordered to pay a $3.5 million penalty in connection with audit failures related to those funds — a finding issued in 2020 that illustrated the extent of the oversight failures involved. Investors in the affected funds faced significant losses as a result of the receivership process.
The Crystal Wealth case is cited in Canadian securities enforcement history as an example of the risks associated with lightly regulated exempt-market products, and has been referenced in subsequent discussions about investor protection standards for private fund offerings.
